Acceptance of Terms

By installing, accessing, or using the Sociable Reviews application (“App”), you (“Merchant,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App. These Terms constitute a legally binding agreement between you and Sovi Apps Inc. (“Company,” “we,” “our,” or “us”).

Description of Service

Sociable Reviews is a Shopify application that retrieves publicly available customer reviews from third-party platforms (Google, Facebook, and Trustpilot) and displays them on your Shopify store. The App uses third-party APIs and services, including Wextractor and the Google Places API, to retrieve review data.

Account and Eligibility

You must have an active Shopify store to use the App.
You must be at least 18 years of age or the age of majority in your jurisdiction.
You are responsible for maintaining the security of your Shopify account and any credentials associated with the App.

Fees and Billing

Subscription fees are billed through Shopify’s billing system in accordance with the plan you select. By subscribing to a paid plan, you authorize Shopify to charge the applicable fees. All fees are non-refundable except as required by applicable law. We reserve the right to change pricing with reasonable notice.

Acceptable Use

You agree not to:

Use the App to display reviews for businesses you do not own or operate.
Use the App in any manner that violates applicable laws or regulations.
Attempt to reverse engineer, decompile, or disassemble the App.
Interfere with or disrupt the App’s functionality or the servers and networks connected to it.
Use the App to collect, store, or process personal data in violation of privacy laws.
Resell, sublicense, or distribute the App or any part of it to third parties.

Third-Party Services

The App relies on third-party services to retrieve review data, including but not limited to Wextractor and the Google Places API. We are not responsible for the availability, accuracy, or completeness of data provided by these third-party services. Changes to third-party APIs, terms, or availability may affect the App’s functionality, and we are not liable for any such disruptions.

Review Data and Content

Reviews displayed through the App are sourced from publicly available third-party platforms. We do not create, endorse, or verify the accuracy of review content.
You are responsible for ensuring that your use of reviews complies with all applicable laws, including privacy and consumer protection regulations.
You acknowledge that review availability depends on the policies of the source platforms (Google, Facebook, Trustpilot) and may change at any time.

Intellectual Property

The App, including its code, design, features, and documentation, is the property of Sovi Apps Inc. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for the duration of your subscription, solely in connection with your Shopify store.

Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY REVIEW DATA RETRIEVED FROM THIRD-PARTY PLATFORMS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOVI APPS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY CANADIAN DOLLARS (CAD $50.00), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Sovi Apps Inc. and its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

Termination

You may terminate your use of the App at any time by uninstalling it from your Shopify store.
We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice.
Upon termination, your license to use the App ceases immediately. We will delete your data in accordance with our Privacy Policy.

Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the App or by other reasonable means. Your continued use of the App after changes are posted constitutes your acceptance of the revised Terms.

Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You irrevocably waive any objection to venue in these courts.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sovi Apps Inc. regarding the App and supersede all prior agreements and understandings.
